1. About these Terms

These Terms of Service (the “Terms”) form a legally binding agreement between you and Ya Zhen (HongKong) Trading Co., Limited, (Ya Zhen, “we”, “us”, “our”), governing your access to and use of sindar-lighting.com (the “Site”) and the products we sell through it. By using the Site or placing an order, you accept these Terms.

2. Eligibility

You must be at least 18 years old, or the age of majority in your state or country of residence, to place an order. By using the Site you represent that you meet this requirement and that the information you provide is accurate, current, and complete.

3. Account registration

You may browse the Site without an account, but some features (saved addresses, order history, faster checkout) require one. You are responsible for keeping your login credentials confidential and for any activity under your account. Notify us at mark@sindar-lighting.com immediately if you suspect unauthorized use.

4. Products, pricing, and availability

We work to display product photos, sizing, and descriptions accurately, but minor variations and screen-color differences may occur. All prices are listed in U.S. dollars (USD) and are exclusive of any applicable sales tax, which is calculated at checkout based on your shipping address. We may modify prices, products, and offers at any time without notice.

We reserve the right to limit quantities, refuse or cancel orders, and correct pricing or typographical errors, including after an order has been confirmed. If we cancel an order you have already paid for, you will receive a full refund to the original payment method.

5. Order acceptance

The receipt of an order confirmation email is an acknowledgment that we received your order, not an acceptance. Acceptance occurs only when the order ships. We may decline orders for any reason, including suspected fraud, payment failure, shipping restrictions, or product unavailability.

6. Payment

We accept the payment methods displayed at checkout, which may include major credit and debit cards, Shopify Pay, Apple Pay, Google Pay, PayPal, and Afterpay. By submitting payment information, you authorize us (or our payment processor) to charge the total amount of your order, including taxes and shipping. All transactions are processed by PCI-DSS compliant providers.

7. Shipping and delivery

Shipping arrangements are governed by our Shipping Policy. Flat rate shipping applies to orders shipped within the United States; variable shipping fees apply to all shipments to destinations outside the United States. Shipping availability varies by territory. If your destination requires special import permits or additional compliance qualifications, please contact us prior to checkout for customized shipping arrangements. Risk of loss and title for products pass to you when the carrier accepts the package.

8. Returns and refunds

Returns are governed by our Refund Policy. Nothing in these Terms limits the statutory consumer-protection rights you may have under federal or state law.

9. Copyright Infringement Notices

We respect all intellectual property rights. If you believe any content published on the Site infringes your copyright, you may submit a written infringement notice to mark@sindar-lighting.com with the subject line “Copyright Infringement Notice”. Your notice should contain: (a) your physical or electronic signature; (b) identification of the copyrighted work claimed to be infringed; (c) the URL of the allegedly infringing material; (d) your complete contact details; (e) a good faith statement that the use has not been authorised; and (f) a statement made under penalty of law confirming you are authorised to act on behalf of the copyright owner.

10. User-generated content

If you submit reviews, photos, or other content to the Site, you grant Ya Zhen (HongKong) Trading Co., Limited a worldwide, royalty-free, non-exclusive, transferable license to use, reproduce, adapt, and display that content in connection with the Site and our marketing. You represent that you own or have the rights to submit the content and that it is not unlawful, defamatory, or infringing.

11. Acceptable use

You agree not to:

(a) use the Site for any unlawful purpose;

(b) upload viruses, malware, or other harmful code;

(d) interfere with the Site’s operation or with other users;

(e) scrape, frame, or republish Site content without permission;

(f) impersonate any person or misrepresent your affiliation.

12. Disclaimers of warranties

EXCEPT FOR ANY EXPRESS WRITTEN WARRANTY WE PROVIDE WITH A SPECIFIC PRODUCT, THE SITE AND PRODUCTS ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL IMPLIED WARRANTIES INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. SOME STATES DO NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES, IN WHICH CASE THIS DISCLAIMER APPLIES TO THE MAXIMUM EXTENT PERMITTED.

13. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, Ya Zhen (HongKong) Trading Co., Limited, ITS OFFICERS, MEMBERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH THE SITE OR ANY ORDER. OUR TOTAL CUMULATIVE LIABILITY ARISING OUT OF ANY ORDER WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID FOR THE PRODUCTS GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100). NOTHING IN THESE TERMS LIMITS LIABILITY THAT CANNOT BE LIMITED UNDER APPLICABLE LAW.

14. Indemnification

You agree to defend, indemnify, and hold harmless Ya Zhen (HongKong) Trading Co., Limited and its officers, members, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable attorneys’ fees) arising out of (a) your use of the Site, (b) your violation of these Terms, or (c) your violation of any third-party right.

15. Force majeure

We are not liable for any delay or failure to perform caused by events outside our reasonable control, including natural disasters, fire, war, terrorism, civil unrest, labor strikes, supply-chain disruption, government action, epidemic, or carrier delay.

16. Governing Law

These Terms are governed by and construed in accordance with the laws of the Hong Kong Special Administrative Region, without regard to conflict of law rules. The United Nations Convention on Contracts for the International Sale of Goods (CISG) shall not apply.

17. Dispute Resolution

Any dispute, controversy or claim arising out of or relating to these Terms, the Website or any purchase transaction shall first be resolved by good-faith negotiation.

If settlement cannot be reached, all such disputes shall be referred to and finally resolved by arbitration administered by the Hong Kong International Arbitration Centre (HKIAC) under the HKIAC Administered Arbitration Rules in force at the time the notice of arbitration is submitted.

The seat of arbitration shall be Hong Kong; there shall be one sole arbitrator; the arbitration proceedings shall be conducted in English. Any arbitral award shall be final and binding upon both parties.

18. Severability

If any provision of these Terms is held invalid or unenforceable, the remaining provisions will continue in full force and effect, and the unenforceable provision will be modified to the minimum extent necessary to make it enforceable.

19. Assignment

You may not assign these Terms without our prior written consent. We may assign these Terms freely.

20. Entire agreement

These Terms, together with our Privacy Policy, Refund Policy, and Shipping Policy, constitute the entire agreement between you and Ya Zhen (HongKong) Trading Co., Limited regarding the Site and supersede any prior agreements.

21. Changes to these Terms

We may update these Terms from time to time. The “Last updated” date above reflects the most recent change. Material changes will be communicated by email or by a prominent notice on the Site. Continuing to use the Site after changes are posted means you accept the updated Terms.
